Terms and Conditions
The term "Web Site" as used herein refers to the web site www.distributedinsight.com and www.lawfirmelearning.com. The following Terms and Conditions apply to the Distributed Insight Associates, Inc. (“the Company”) Web Site and to the software, services, multimedia, courseware, products, resources, information, content, materials, and results or output derived from such services or products on the Web Site ("Site content"). By using the Web Site or Site contents, you accept and agree to comply with the following Terms and Conditions. Your use of certain resources made available on the Web Site or the conduct of certain transactions may be subject to certain additional terms and conditions, which will be made available to you prior to using such resources or conducting such transactions. We reserve the right to modify, alter, update, or remove portions of these Terms and Conditions at any time, so please check these Terms and Conditions (and our Privacy Policy) from time to time. Your continued use of the Web Site signifies your acceptance of any changed items. If you do not agree with our Terms and Conditions, your sole remedy is to discontinue your use of the Web Site. Standards for Internet Conduct / Acceptable Site Use
In connection with your use of the Web Site, you may not:

- Delete or modify any Material posted by any other person or entity without their permission.
- Submit an e-mail address that you do not own or for which you do not have the express permission of the owner to submit.
- Violate or attempt to violate the security of the Web Site including, without limitation:
- Accessing data not intended for such user or logging into a server or account that the user is not authorized to access;
- Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

Violations of system or network security may result in civil or criminal liability. The Company will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.
Specific Prohibitions on Use
The Web Site may be used only for lawful purposes by individuals seeking to gain knowledge about provided e-learning and online learning tools, products and services. The Company specifically prohibits any use of the Web Site, and all users agree not to use the Web Site, for any of the following:
- Using any device, software or routine to interfere or attempt to interfere with the proper working of this Web Site or any activity being conducted on this site.
- Taking any action which imposes an unreasonable or disproportionately large load on the Web Site's infrastructure.
- Using or attempting to use any engine, software, tool, agent or other device or mechanism (including, without limitation: browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Web Site other than the search engine and search agents available from the Company on this Web Site and other than generally available third party web browsers (e.g., Netscape Navigator, Microsoft Explorer), except as provided herein.

- Aggregating, copying or duplicating in any manner any of the Material or Content available from the Web Site.

User Information
When you register to purchase materials or services or when you identify yourself in order to request more information from the Company, you will be asked to provide the Company with certain information including, without limitation, a valid e-mail address. In addition to the terms and conditions that may be set forth in any privacy commitment on this Web Site, you understand and agree that the Company may disclose to third parties, on an anonymous basis, certain aggregate information contained in your registration application. Limitation of Liability
The aggregate liability for the Company to you for all claims arising from the use of the Web Site, Materials, and Content is limited to $100
Indemnity
You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Material and the Content or your breach of the terms of these Terms and Conditions. The Company shall provide notice to you promptly of any such claim, suit, or proceeding.
General
The Company makes no claims that the Material or Content may be lawfully viewed or downloaded outside of the United States. Access to the Material and Content may not be legal by certain persons or in certain countries. These Terms and Conditions are governed by the internal substantive laws of the State of New York, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this agreement shall lie exclusively with the state or federal courts serving Monroe County, New York. If any provision of these Terms and Conditions are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided in guidelines and/or additional terms of use for areas of the Web Site, a particular Legal Notice or Software License, or Material on particular Web pages, these Terms and Conditions constitute the entire agreement between you and the Company with respect to the use of the Web Site.
